1. Agreement to Terms

These Terms of Service (“Terms”) form a binding agreement between you (“User,” “you,” or “your”) and [YOUR COMPANY LEGAL NAME] (“EstiBuild AI,” “we,” “us,” or “our”), a business registered in Bangladesh under [TRADE LICENSE NUMBER / RJSC REGISTRATION NUMBER], governing your access to and use of the EstiBuild AI website, application, and related services (collectively, the “Service”).

By creating an account, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are creating an account on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.

2. The Service

EstiBuild AI is a software-as-a-service platform for construction material estimation and budget management, including but not limited to: project and building data entry, an automated Bill of Quantities (BOQ) and cost estimation engine, budget summaries, PDF/Excel report generation, client and team management, an AI-assisted natural-language project intake feature, invoicing, and related tools.

We may add, change, or remove features at any time. We will make reasonable efforts to notify you of material changes that affect your active subscription.

3. Accounts

• You must provide accurate, current information when creating an account, and keep your password confidential. You are responsible for all activity under your account and must notify us promptly of any unauthorized use.
• You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
• One account may belong to multiple users under a single company workspace, with different roles (owner, admin, estimator, viewer, accountant) as provided by the Service. The company owner is responsible for managing who has access and at what permission level.

4. Subscription Plans, Billing, and Payments

• The Service is offered under multiple plans (Free, Starter, Professional, Enterprise, and any other plans we introduce), each with its own feature limits and pricing, as described on our pricing page at the time of purchase.
• Paid plans are billed in advance on a recurring basis (monthly, unless otherwise stated) through the payment method(s) we support (currently bKash, with Nagad/SSLCommerz planned).
• All fees are in Bangladeshi Taka (BDT) unless stated otherwise, and are exclusive of applicable VAT, which will be added where required by law.
• Unless required otherwise by Bangladeshi consumer protection law, subscription fees are non-refundable once a billing period has started. If you cancel, your plan remains active until the end of the current paid period, after which it will not renew.
• We reserve the right to change our prices. We will give you at least [30 DAYS] advance notice of any price increase affecting your active subscription, by email or in-app notification.
• Failure to pay may result in suspension or downgrade of your account to the Free plan after a reasonable grace period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose, or in violation of any applicable Bangladeshi or international law, including but not limited to the Cyber Security Act and Personal Data Protection Ordinance.
• Attempt to gain unauthorized access to any part of the Service, other users’ accounts or data, or the underlying systems and infrastructure.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law.
• Upload or transmit malicious code, or use the Service to send spam or unsolicited communications.
• Resell, sublicense, or provide the Service to third parties as your own product without our prior written consent.
• Use automated means (scraping, bots) to access the Service outside of our published API, without prior written permission.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice, depending on severity.

6. Accuracy of Estimates – Please Read Carefully

This is the single most important section of these Terms, given what the Service does.

• EstiBuild AI’s estimation engine calculates material quantities and costs based on formulas, coefficients, and price data that you, your company, or our default templates provide or configure. These are estimates, not guarantees, and actual construction costs can and do vary due to site conditions, market price fluctuations, labor availability, design changes, and many other factors outside our control.
• The Service is a tool to assist a qualified professional, not a replacement for one. Final Bills of Quantities, budgets, and any estimate used for a real construction project, contract, tender, or client-facing commitment must be reviewed and approved by a licensed civil engineer or qualified quantity surveyor before being relied upon. This is your responsibility, not ours.
• The AI Assistant feature (where enabled) extracts structured data from natural-language descriptions to help populate project fields faster; it does not independently calculate or verify costs, and every AI-extracted value must be confirmed by you before it is used in an estimate.
• We are not liable for any financial loss, contractual dispute, project delay, or other damage arising from reliance on estimates generated by the Service without appropriate professional review, to the maximum extent permitted by applicable law.

7. Your Data and Content

• You retain ownership of all project data, client information, pricing data, and other content you upload to the Service (“Your Data”).
• You grant us a limited license to host, process, and display Your Data solely as needed to provide the Service to you.
• You are responsible for ensuring you have the right to upload any client or third-party information into the Service, and for complying with applicable data protection law (including Bangladesh’s Personal Data Protection Ordinance) with respect to that information.
• See our Privacy Policy for details on how we collect, use, and protect personal data.

8. Intellectual Property

• The Service, including its software, design, branding, and the estimation engine’s underlying logic (excluding Your Data), is owned by us or our licensors and protected by applicable intellectual property law. These Terms do not grant you any ownership rights in the Service itself.
• Any feedback or suggestions you provide about the Service may be used by us without obligation to you.

9. Third-Party Services

The Service integrates with third-party providers, including payment gateways (bKash, and in future Nagad/SSLCommerz) and, where enabled, Anthropic’s Claude API for the AI Assistant feature. Your use of those integrations is also subject to those providers’ own terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

10. Service Availability and Support

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may perform maintenance, and the Service may occasionally be unavailable due to circumstances within or outside our control. We will make reasonable efforts to communicate planned downtime in advance.

11. Termination

• You may stop using the Service and close your account at any time.
• We may suspend or terminate your account for breach of these Terms, non-payment, suspected fraudulent or illegal activity, or if required by law, with notice where reasonably possible.
• Upon termination, your right to access the Service ends. We will retain Your Data for a reasonable period as described in our Privacy Policy to allow for export or recovery, after which it may be deleted.

12. Disclaimers and Limitation of Liability

• To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, accuracy, or non-infringement.
• To the maximum extent permitted by applicable law, our total liability for any claim arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the [12 MONTHS] preceding the claim, and we shall not be liable for indirect, incidental, consequential, or punitive damages.
• Nothing in these Terms limits liability that cannot be limited under applicable Bangladeshi law.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least [14 DAYS] before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution
